On January 29, Merck & Co. NYSE: MRK ; , the second largest US drug maker, announced plans to spin-off Merck-Medco, its pharmacy benefits management subsidiary. Merck plans an IPO for its subsidiary by the middle of 2002, subject to market conditions. The company is evaluating the distribution of the remaining shares, but wants to complete the separation of Merck-Medco within 12 months of the IPO. The distribution is subject to receiving an IRS ruling that the distribution would be tax-free. Merck has not determined whether the distribution will be a spin-off or a split-off. The filing for Merck-Medco's should be available in March. Merck plans to separate the companies so that they can focus on their respective industries and to increase the transparencies of each. The company is following rivals such as Novartis AG and BristolMyers Squibb in selling businesses that are not geared toward pharmaceutical development. Merck has come under increasing pressure as Merck's stock has lost almost 40% in the past year. This is the result of the loss of five patents while the growth of a newer drug stalls. The spin-off may be a reaction to pressure for Merck to merge with another drug maker a move that Merck has resisted. The spinoff will remove a division that accounts for more than 55% of Merck's revenues but has weaker margins.
